Brief Description of Assignment |
: |
These Terms of Reference for the Independent Panel (the TOR) are being specified pursuant to the PPP Contract dated 18 March 2020 (the PPP Contract), which has been entered into between The Government of the People’s Republic of Bangladesh represented by the Ministry of Railways acting through Bangladesh Railway having its principal office at Rail Bhaban, 16 Abdul Gani Road, Dhaka 1000, Bangladesh (hereinafter referred to as the “Contracting Authority”) and United Enterprises & Co. Ltd. having its registered office at Gulshan Centre Point, House - 23-26, Road - 90, Gulshan 2, Dhaka 1212 (the Project Company) for the Establishment of a 500 Bed Multi-Specialty Hospital and a 100 seat Medical College on Bangladesh Railway Site in Chattogram, Bangladeshon a design, build, finance, operate, maintain, transfer (DBFOMT) basis, and a copy of which is annexed hereto and marked as Annex-A to form part of this TOR.
2 Role and functions of the Independent Panel
The role and functions of the Independent Panel shall include the following:
a) conducting inspection and Tests in relation to the Project Facilities and issuing Completion/Provisional Certificate;
b) reviewing the data and information provided by the Project Company in accordance with the PPP Contract;
c) monitoring the compliance of the Project Company with the terms of this PPP Contract;
d) determining, as required under the PPP Contract, the costs of any works or services and/or their reasonableness;
e) determining, as required under the PPP Contract, the period or any extension thereof, for performing any duty or obligation;
f) assisting the Parties in resolution of Disputes;
g) determining whether to grant the Project Company an initial six-month (or less) extension to the Scheduled Completion Date in accordance with the PPP Contract;
h) approve the relevant forms of sub-lease to be used by the Project Company in accordance with the PPP Contract;
i) undertaking all other duties and functions in accordance with the PPP Contract;
j) assisting the Contracting Authority in arriving at a decision in accordance with Clause 4.1.4 (Conditions Precedent) of the PPP Contract, if the Contracting Authority seeks the advice of the Independent Panel; and
k) discharging any other functions or duties (not specifically set out in this TOR) which arise under the PPP Contract.II. The Independent Panel shall discharge its duties in a fair, impartial and efficient manner, consistent with the highest standards of professional integrity and Good Industry Practice.
III. Upon receipt of notification from the Project Company, the Independent Panel shall perform the following functions:
A. Construction Period:
I. Review and opine on the Project Plan submitted by the Project Company;
II. Monitor and review the progress of the Construction Works;
III. Basic design and planning review of the Project;
IV. Review construction schedule including Project Milestones;
V. Review Project Agreements and opine on technical adequacy, consistency among the contracts and their suitability to achieve Project scope and cash flow projections;
VI. Review conformity with good engineering and construction standards and industry practices;
VII. Review contractors’ experience and their ability to meet contractual requirements, and risk allocation;
VIII. Performance testing and acceptance criteria for the Project and each of the individual Project Facilities;
IX. Monitor and review the progress of the Construction Works;
X. Review the periodic progress report;
XI. Evaluate the actual quality control procedures implemented and advise if, in its opinion, the Quality Control/Quality Assurance program of the Contractor is appropriate and adequate with respect to Site conditions and typical of industry practice;
XII. Review the status of the Project Completion Schedule and budget;
XIII. Review other items listed in the Terms of Reference.
XIV. Review and opine on:
a) Safety assurance program
b) Quality of construction work, O&M plan and man-power availability;
c) Site conditions, including Site accessibility, as well as adequacy of the available infrastructure;
d) Project commissioning and start-up plan, including testing and acceptance criteria for the Project;
e) Compliance of Construction Work with permits and with applicable environmental guidelines;
f) That construction is in accordance with the PPP Contract requirements.
XV. The Independent Panel shall inspect the Project Assets once every month, preferably after receipt of the monthly progress report from the Project Company, but before the 20th (twentieth) day of each month in any case, and make out a report of such inspection (the Works Report) setting forth an overview of the status, progress, quality and safety of the Project works, including the conformity of the Project works with the Scope of the Project.
a) In a separate section of the Works Report, the Independent Panel shall describe in reasonable detail the lapses, defects or deficiencies observed by it in the Project. The Independent Panel shall send a copy of its Inspection Report to the Contracting Authority and the Project Company within 7 (seven) days of the inspection.
b) The Independent Panel will have responsibility for advising on any situation that might arise that could impact successful completion of the Project. |

a) The Consultant (Firm) shall be selected in accordance with PPA/2006 and PPR/2008 as enforced in Bangladesh.
b) Expression of Interests (EOI) in two sets [One original + One duplicate with CD ] shall be submitted in sealed envelope, delivered to the address of the undersigned. |
